Terms of Service

1. Acceptance of Terms

By accessing and using Eleanor's AI services, including our mobile applications and website, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please discontinue use of our services immediately.

2. Description of Service

Eleanor's AI is a voice-powered artificial intelligence companion service provided by Kychee, Inc. ("Kychee," "we," "us," or "our"). Our services are delivered through our website and mobile applications and may include integration with third-party services such as Google for authentication purposes.

3. User Accounts

To access certain features of our service, you may need to create an account. You can do this by:

  • Registering directly with us
  • Using your Google account for authentication

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

4. Subscription Plans and Payment

4.1 Subscription Tiers

Eleanor offers both free and paid subscription plans. Paid plans provide additional features and/or increased usage capacity (such as conversation time per day). The specific features, pricing, and capacity for each plan are displayed on our subscription page at the time of purchase.

4.2 Billing and Payment

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). Payment is processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on file for the subscription fees.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. By subscribing, you expressly consent to automatic renewal and recurring charges. The renewal price will be at the then-current rate unless we have notified you of a price change in accordance with Section 5.

4.4 Free Trials and Promotions

We may offer free trials or promotional pricing from time to time. Unless you cancel before the trial or promotional period ends, your subscription will automatically convert to a paid subscription at the standard rate, and your payment method will be charged.

5. Pricing, Capacity Changes, and Modifications

5.1 Right to Modify Pricing and Capacity

We reserve the right to change subscription prices and/or the capacity or features included in each subscription tier (such as conversation time limits, feature availability, or other usage parameters) at any time.

5.2 Notice of Changes

We will provide you with at least thirty (30) days' advance notice via email before any price increase or material reduction in capacity or features takes effect for your subscription. The notice will include the new pricing or capacity terms and the effective date.

5.3 Your Options Upon Changes

If we increase prices or materially reduce capacity or features for your subscription tier, you have the following options:

  • Accept the changes: Continue your subscription under the new terms.
  • Cancel your subscription: Cancel before the changes take effect. You will retain access to your current plan until the end of your current billing period.
  • Request a prorated refund (annual subscribers only): If you are on an annual plan and choose to cancel due to a price increase or material capacity reduction initiated by us, you may request a prorated refund for the unused portion of your subscription term. If you do not cancel before the effective date of the changes, your continued use of the service constitutes acceptance of the new terms.

6. Cancellation and Refunds

6.1 How to Cancel

You may cancel your subscription at any time through your account settings on our website or by contacting us at info@kychee.com. Cancellation will take effect at the end of your current billing period.

6.2 Effect of Cancellation

Upon cancellation, you will continue to have access to your paid subscription features and capacity until the end of your current billing period. After that, your account will revert to the free tier (if available) or be deactivated.

6.3 Refund Policy

General Policy: Subscription fees are non-refundable except as expressly set forth in these Terms.

Refunds for Price or Capacity Changes: As described in Section 5.3, annual subscribers who cancel due to a price increase or material capacity reduction initiated by us may request a prorated refund for the unused portion of their subscription.

No Refunds for Voluntary Cancellation: If you voluntarily cancel your subscription for reasons other than changes to pricing or capacity initiated by us, no refund will be provided. You will retain access until the end of your current billing period.

7. Artificial Intelligence Disclaimer

7.1 Nature of AI-Generated Content

Eleanor is powered by artificial intelligence technology, including third-party AI and large language model (LLM) providers. AI-generated responses may be inaccurate, incomplete, outdated, or inappropriate. The AI may occasionally produce responses that contain factual errors, misunderstandings, or content that does not reflect reality ("hallucinations").

7.2 Not Professional Advice

Eleanor is not a substitute for professional advice. The service is intended for general conversation, companionship, and cognitive engagement only. Eleanor does not provide and should not be relied upon for:

  • Medical advice: Do not use Eleanor for medical diagnosis, treatment decisions, or health emergencies. Always consult a qualified healthcare professional.
  • Legal advice: Do not rely on Eleanor for legal guidance. Consult a licensed attorney for legal matters.
  • Financial advice: Do not use Eleanor for investment, tax, or financial planning decisions. Consult a qualified financial advisor.
  • Emergency services: Eleanor cannot contact emergency services. In case of emergency, call 911 or your local emergency number.

7.3 User Responsibility

You are solely responsible for evaluating and verifying any information provided by Eleanor before relying on it. We strongly encourage you to independently verify any facts, recommendations, or suggestions provided by the service.

7.4 Third-Party AI Providers

Our service utilizes AI technologies and services from third-party providers. We do not control these third-party AI systems and are not responsible for their outputs, accuracy, availability, or data handling practices. Your use of our service is also subject to the terms and policies of these third-party providers to the extent applicable.

8. Privacy Policy

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy.

9. Third-Party Services

Our service integrates with third-party services, including Google for authentication, Stripe for payment processing, and various AI technology providers. Your use of such third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the practices or policies of these third parties.

10. Intellectual Property

All content, trademarks, and technology used in Eleanor's AI are owned by Kychee, Inc. or licensed to us. You may not copy, distribute, or modify any part of the service without our express written permission.

11. Limitations of Liability

11.1 Disclaimer of Warranties

THE SERVICE AND ALL AI-GENERATED CONTENT ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

11.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KYCHEE, INC., ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY AI-GENERATED CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Liability Cap

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11.4 AI-Specific Disclaimer

WITHOUT LIMITING THE FOREGOING, WE SPECIFICALLY DISCLAIM ALL LIABILITY FOR ANY ACTIONS TAKEN OR DECISIONS MADE BASED ON AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO MEDICAL, LEGAL, FINANCIAL, OR PERSONAL DECISIONS. YOU ACKNOWLEDGE THAT AI TECHNOLOGY IS INHERENTLY IMPERFECT AND THAT ERRORS, INACCURACIES, AND INAPPROPRIATE CONTENT MAY OCCUR.

12. Indemnification

You agree to defend, indemnify, and hold harmless Kychee, Inc. and its affiliates, licensors, and service providers from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the service or AI-generated content; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any decisions or actions you take based on information provided by the service.

13. Modifications to Service

We reserve the right to modify, suspend, or discontinue the service (or any part thereof), temporarily or permanently, with or without notice. Except as provided in Section 5 regarding pricing and capacity changes, we shall not be liable to you or any third party for any modification, suspension, or discontinuance of the service.

14. Termination

We reserve the right to terminate or suspend your account and access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination for cause, you will not be entitled to any refund of prepaid fees.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

16. International Users and EU Compliance

Our service is primarily operated from the United States. If you access our service from outside the United States, you do so at your own risk and are responsible for compliance with local laws. For users in the European Union, we are committed to complying with applicable EU regulations, including but not limited to the General Data Protection Regulation (GDPR) and the EU Data Act, to the extent they apply to our services.

18. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide notice by email and/or by posting the updated Terms on our website at least thirty (30) days before the changes take effect. Your continued use of the service after such modifications will constitute your acknowledgment and agreement to the modified Terms. If you do not agree to the modified Terms, you must stop using the service.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kychee, Inc. regarding your use of the service and supersede all prior agreements and understandings.
